Agreement to Terms

By accessing or using PMKeep ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all users of the Service, including property managers, landlords, and any other users who access the platform.

Description of Service

PMKeep is a cloud-based property management software that helps landlords and property managers organize and manage their rental properties. Features include property and unit tracking, tenant management, lease management, rent collection tracking, maintenance request handling, financial reporting, and owner statements.

Account Registration

To use PMKeep, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 18 years old to create an account and use our Service.

Acceptable Use

You agree to use PMKeep only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Violate any laws in your jurisdiction, including housing and fair housing laws
• Upload false, misleading, or fraudulent information
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Use the Service to discriminate against any person or group
• Reverse engineer, decompile, or attempt to extract source code
• Share your account credentials with others

Your Data

You retain ownership of all data you enter into PMKeep ("Your Data"). By using the Service, you grant us a limited license to use Your Data solely for the purpose of providing and improving the Service.

You are responsible for:

• The accuracy and legality of Your Data
• Obtaining any necessary consents from tenants or others whose information you store
• Maintaining your own backups of critical data
• Complying with applicable data protection laws

Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will try to provide advance notice)
• Emergency maintenance or security updates
• Factors beyond our reasonable control

Payment Terms

PMKeep may offer free and paid subscription plans. If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as explicitly stated otherwise. We reserve the right to change pricing with reasonable notice.

Intellectual Property

The Service, including its design, features, code, and content (excluding Your Data), is owned by PMKeep and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without explicit permission.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your specific requirements, be error-free, or operate without interruption.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PMKEEP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless PMKeep, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or for any other reason with reasonable notice.

Upon termination, your right to use the Service ceases immediately. We may retain Your Data for a reasonable period to allow you to export it, after which it may be deleted.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration or in courts of competent jurisdiction.
